1. Acceptance of these Terms
By accessing NameGrid.tech, creating an account, placing an order, purchasing or renewing a product, or otherwise using any service offered through NameGrid, you agree to be bound by these Terms & Conditions and any additional policies or product-specific terms that apply to the service you use.
If you do not agree with these Terms, you must not use the website or purchase the services.
2. Business and Professional Use
Services made available through our reseller platform are intended for business and professional use. By purchasing a service through NameGrid, you represent that you are acquiring and using it for a business, commercial, professional, branding, online-presence, reputation-management or similar professional purpose.
3. Products and Services
NameGrid may offer, among other things:
- Domain name registration, renewal and transfer services;
- Shared, WordPress, Web Hosting Plus and VPS hosting;
- Website builder products;
- Professional email and Microsoft 365 products;
- SSL certificates, website security and website backup;
- SEO, email marketing and other digital services.
Product availability, features, storage, bandwidth, technical limits, included services and pricing may vary by plan and may change over time. The details shown at checkout or in the applicable service description govern your particular order.
4. Third-Party and Upstream Provider Terms
Certain services offered through NameGrid are supplied or fulfilled through third-party infrastructure and reseller platforms, including GoDaddy and its affiliates. When you purchase or use such a service, applicable upstream-provider agreements, policies and product-specific terms may also apply.
Those additional terms may govern matters such as account access, domain registration and transfer, hosting usage, email services, SSL certificates, website security, renewals, refunds, suspension, abuse handling, privacy and dispute resolution.
If there is a direct conflict between these Terms and a mandatory term imposed by the provider that actually provisions or controls the applicable service, the provider-specific requirement will govern to the extent necessary for that service.
5. Accounts and Customer Information
You are responsible for providing accurate and current contact, billing and account information and for keeping your login credentials confidential. You are responsible for activities performed through your account unless caused by a security failure attributable to the applicable service provider.
You must promptly update your details if your email address, telephone number, billing information, organization information or other required account data changes.
6. Orders, Pricing and Taxes
All prices are displayed in the currency shown at checkout. Promotional prices may apply only to the initial term and may differ from the renewal price.
Applicable taxes, VAT, GST, currency-conversion charges, payment-provider charges or other legally required fees may be added where applicable. The total displayed during checkout is the amount submitted for the transaction, subject to any separate fees charged directly by your bank or payment provider.
We and our upstream providers may correct pricing, description or technical errors and may reject, cancel or reverse orders where required because of fraud, abuse, payment failure, product unavailability, technical error or legal/compliance requirements.
7. Subscriptions and Automatic Renewals
Many services are subscription products. Where automatic renewal is enabled, the service may renew automatically at the then-current renewal price using the payment method associated with the account.
It is your responsibility to review renewal settings, renewal dates and current pricing and to cancel automatic renewal before the applicable renewal date if you do not wish the service to renew.
Failure to renew a service may result in suspension, deletion, expiration or loss of access to the service or associated data.
8. Domain Names
Domain registrations and transfers are subject to availability, registry rules, registrar requirements, ICANN policies where applicable and the relevant domain-specific service agreements.
A successful domain search does not guarantee registration until the order is completed and accepted by the registry or registrar.
You are responsible for maintaining accurate registrant information, responding to required verification requests and renewing your domain before expiration. NameGrid cannot guarantee recovery of an expired domain, and redemption or restoration fees may apply.
Domain transfers may be delayed or rejected because of transfer locks, registry restrictions, incorrect authorization codes, verification requirements, disputes, recently completed registrations or transfers, or other registrar/registry rules.
9. Hosting, WordPress and VPS Services
Hosting resources are subject to the specifications and usage limits of the plan purchased. You must use hosting and server resources responsibly and may not use a service in a manner that threatens network stability, security, service availability or other customers.
Self-managed VPS products may require you to configure, secure, update and administer the server yourself. Unless your plan expressly includes management services, you remain responsible for operating-system configuration, application security, backups and server administration.
You should maintain independent backups of important data even when a backup product or feature is included.
10. Email, SSL, Website Security and Related Services
Email services must not be used for spam, phishing, fraud or unsolicited bulk messaging in violation of law or provider policy.
SSL certificates, malware scanning, website security, monitoring and backup services reduce certain risks but do not guarantee that a website, server, mailbox or data set will never be compromised, infected, lost or unavailable.
Some security or remediation services may become non-refundable once remediation or managed service work has started, depending on the applicable provider policy.
11. Acceptable Use
You must not use NameGrid or any service obtained through NameGrid to:
- Violate applicable law, regulation, court order or intellectual-property rights;
- Distribute malware, ransomware, spyware or malicious code;
- Conduct phishing, fraud, identity theft or deceptive activity;
- Send spam or unsolicited bulk communications;
- Attack, scan, disrupt or gain unauthorized access to systems or networks;
- Host or distribute unlawful content;
- Abuse shared resources or interfere with the availability of services to others;
- Circumvent technical, security, billing or usage restrictions.
12. Suspension and Termination
NameGrid or an applicable upstream provider may suspend, restrict, cancel or terminate access to a service where reasonably necessary because of non-payment, chargeback, fraud, abuse, security risk, unlawful activity, policy violation, excessive resource use, sanctions/compliance requirements or a request from a competent authority.
Where technically or legally possible, customers may be given an opportunity to correct a violation, but immediate action may be taken where necessary to protect users, systems, networks or third parties.
13. Cancellations and Refunds
Refund eligibility depends on the product, billing term, date of transaction and applicable upstream-provider policy. Some products are subject to special refund rules and some may be non-refundable.
As a general rule, annual plans may have a longer refund window than monthly or shorter-term plans, while certain domains, security services, setup services, remediation work, redeemed products and other specified services may have different or no refund eligibility.
Cancelling a product does not automatically guarantee a refund. A refund must satisfy the refund conditions applicable to that product at the time of the transaction.
14. Service Availability and Changes
We aim to provide reliable access to the website and services, but uninterrupted or error-free operation cannot be guaranteed. Maintenance, provider outages, registry issues, network events, security incidents and circumstances outside our reasonable control may affect availability.
Products, features, interfaces, pricing and technical specifications may be changed, replaced or discontinued from time to time.
15. Intellectual Property
The NameGrid name, website design, branding, graphics, text and other original content made available by NameGrid are protected by applicable intellectual-property laws.
Third-party product names, trademarks, logos and service marks remain the property of their respective owners. Nothing in these Terms grants you a license to use any trademark except as expressly permitted.
16. Disclaimers
To the maximum extent permitted by applicable law, NameGrid provides the website and its own services on an “as available” basis. We do not guarantee that every service will meet every customer requirement or that any website, domain, server, email system, security product or marketing product will produce a particular business outcome.
Search-engine rankings, sales, traffic, uptime, deliverability, cybersecurity outcomes and domain availability can depend on factors outside NameGrid’s control.
17. Limitation of Liability
To the maximum extent permitted by applicable law, NameGrid will not be liable for indirect, incidental, special, punitive or consequential losses, including loss of profit, revenue, business opportunity, goodwill or data, arising from or related to use of the website or services.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
18. Your Responsibility and Indemnity
You are responsible for your content, account activity and use of the services. To the extent permitted by law, you agree to indemnify and hold NameGrid harmless from third-party claims, losses or expenses resulting from your unlawful use of the services, your content, or your violation of these Terms or applicable law.
19. Changes to these Terms
We may update these Terms to reflect changes to our services, provider requirements, legal obligations or business practices. The revised version will be posted on this page with an updated revision date.
Your continued use of the services after revised Terms take effect constitutes acceptance of the updated Terms to the extent permitted by law.
20. Governing Law and Disputes
The law and dispute-resolution rules applicable to a transaction may depend on the contracting entity, customer location and the provider-specific terms governing the underlying service.
Nothing in these Terms removes any mandatory rights or remedies that apply to you under applicable law.
